Wow...The Government Can Sometimes Make
Things a Little Easier and Less Costly!!

Hart-Scott-Rodino Requirements altered, effective February 1, 2002, the Hart-Scott-Rodino Antitrust Improvements Act of 1976 which required buyers and sellers to notify the Federal Trade Commission for a large number of mergers and acquisitions transactions involving medium sized businesses.

In the past, businesses involved in mergers or acquisitions valued at $15 million and greater had to notify the FTC, and then wait to see if the FTC raised any issues. The new trigger for notifications is $50 million.

This change should expedite the closing process and

reduce legal bills for many transactions.

One additional thing to remember. This long-time threashold of $15,000,000 is only one of many hidden government hurdles that business owners must jump to properly close a sale. This is one of the many reasons that it is critical to have first rate, legal specialists involved in a transaction. Avoiding such pitfalls can be very simple if you know what to look for and what to do. Not knowing...and learning about the misstep from a government respresentative is not an experience you want to have!
